Your person at the negotiating table in Thailand
A lawyer or accountant comes to the meeting in person, conveys the meaning — not just the words — checks the documents and makes sure money moves only after the terms are met.
- Background check on the other side before the meeting
- Negotiations in Thai and English
- Payment control through a bank letter of credit or contractual escrow

Where the risk lies
- 01
A foreign country, a foreign language.
Important details get lost, and you are asked to sign today.
- 02
An unchecked partner.
Debts, lawsuits, an empty shell company.
- 03
Money upfront.
Without payment control, only one side carries the risk — you.
What to check before you sign
Based on Thai government registers and laws. Checked on 17 October 2026.
Requirements change. We check them against official sources before every application.
-
The company is on the DBD register
The Department of Business Development (DBD) issues the company affidavit (หนังสือรับรอง), certified copies of registration documents, the shareholder list (บอจ.5) and filed financial statements — online or at partner bank branches. An electronic affidavit can be verified by its QR code or by its Reference Number on the DBD website.
-
The signer has the authority
The DBD affidavit lists the directors authorised to sign, the signing rule — for example, two jointly — and any limits on their powers. We check the signer before the meeting.
-
Bankruptcy check
The Legal Execution Department (LED) runs online services for bankruptcy case searches, case status and official receiver announcements.

Written form
A sale of immovable property is void unless it is in writing and registered with the competent official. A claim under a sale of movable property of 20,000 THB or more can be enforced in court only with written evidence signed by the party liable, earnest money or part performance.
-
Earnest money
If the party who paid the earnest fails to perform, it is forfeited. If the party who received it fails, it is returned. The contract can agree otherwise.
-
Contract penalty
A court may reduce a disproportionately high penalty to a reasonable amount. That is why we justify the penalty amount in the contract.
-
Stamp duty
Stamp duty applies to the instruments listed in the Revenue Code — for example, property leases, hire of work and loans. Such a contract cannot be used as evidence in a civil case until the duty is paid in full. If an inspection finds it unpaid, the surcharge is 6 times the duty, or 25 THB if that is more.

-
Escrow only through a licensed agent
Escrow is regulated by the Escrow Act B.E. 2551 (2008): the agent needs a licence, and a bank needs permission from the Minister of Finance. So we run payments through a bank — a letter of credit or a contractual escrow arrangement.

Frequently asked questions
Do you represent only our side?
By default, yes. We act as a neutral intermediary for both parties only under a separate agreement with both of them.
Where do the meetings take place?
Anywhere in Thailand. Travel to another city is arranged in advance.
Do you sign an NDA?
Yes.
How soon can you come?
1–2 business days.
How does payment control work?
Through a bank letter of credit or contractual escrow. In Thailand, escrow is a licensed activity under the Escrow Act B.E. 2551 (2008), so money is not simply handed to a middleman on trust. We draft the release conditions and check the documents against which the bank pays.
Does a letter of credit protect me from poor-quality goods?
Not on its own. Under the ICC UCP 600 rules, the bank examines documents, not goods, and pays when the documents comply with the credit. So we add quality and shipping documents to the terms — for example, an independent inspection certificate.
How do you check the other side?
Using government sources. From the DBD: the company affidavit, shareholder list and financial statements. Through the Legal Execution Department (LED) services: bankruptcy cases. We also confirm who is authorised to sign the contract.
Can the contract be signed remotely?
Often, yes. The Electronic Transactions Act (s. 9 as amended in 2019) recognises an electronic signature if the method identifies the signer and their intention and is either reliable enough for the transaction or proven by further evidence. If a government office registers the deal — for example, a property sale — its own rules apply.
What language will the contract be in?
Usually two: English and Thai, with a clause saying which version prevails. Thai courts hear cases in Thai and may order a certified translation of a foreign-language document.
Does the bank need documents for the transfer?
In Thailand, foreign currency transactions are reported to the authorised bank. For the equivalent of USD 200,000 or more, the bank asks for supporting documents unless it has completed a Know Your Business (KYB) check on the client. So we prepare the contract and invoice before payment.
