Company registration
Starting a business in Thailand with a legal structure
Registering a private limited company (Company Limited) in Thailand for foreigners and mixed teams. We choose a legal structure with no nominee shareholders: a Thai company with real partners, BOI, a Foreign Business License or the US Treaty of Amity. We prepare the documents for the DBD checks on Thai shareholders in force since 1 August 2026, register the company — its DBD number also serves as its tax ID — and set up accounting and visas.

- Bookkeeping and monthly tax returns for 3 months
- VAT registration, if needed

Company audit
Owners of existing companies in Thailand
A company audit is a legal check of your existing Thai company: who really owns the shares, how the capital was paid, where the office is registered and whether filings are on time. It is for owners who set up through an agent or with Thai shareholders, and for those who hold work permits through the company. We compare your documents with public DBD data, assess the risk under the Foreign Business Act and offer a legal plan: restructuring, BOI, a license or closing the company.

- Everything in the express audit
- Documents checked against DBD records
- Check of the office, licenses and work permits
- Remediation plan with prices and timelines

For anyone opening or regularising a tour company, hotel, villas, restaurant, bar or import business. Company closing
Your company is no longer needed or has stopped trading
Closing a company means the dissolution and liquidation of a Thai limited company: a shareholders' resolution, registration with the DBD, settling with creditors, audited accounts and notices to the Revenue Department. It is for owners whose company is no longer needed, has stopped trading or was set up years ago through an agent. We draw up the plan, prepare the filings for the DBD, the Revenue Department, Social Security and the Department of Employment, and handle the case until the completion of liquidation is registered.
Learn moreWhat's included
- Shareholders' meeting and minutes with the special resolution
- Registration of the dissolution with the DBD
- Newspaper notice and letters to creditors
- Notices to the Revenue Department, VAT, Social Security and the Department of Employment
- Accounts as of the dissolution date and PND.50, with the auditor

It suits owners of service, trading, IT and manufacturing businesses, and US citizens and companies under the Treaty of Amity. Frequently asked questions
Can a foreigner own 100% of a company?
Yes, in some cases: through BOI, a Foreign Business License or the US Treaty of Amity. We will find the legal route for you.
How many shareholders do I need?
A Thai private limited company needs at least two. If foreigners hold 49% or less, the remaining shares must belong to real Thai shareholders with confirmed payment.
Is this confidential?
Yes. We sign an NDA on request and don't share your data with third parties.
What if the audit shows a nominee scheme?
We'll offer legal options: real partners, BOI, a Foreign Business License, restructuring or closing the company. The decision is yours.
Does TAT issue tour operator licences?
No. Tour operator licences are issued by the Department of Tourism registrar, not TAT. There are four types: specific-area, domestic, inbound and general. The decision comes within 30 days of filing a complete application. Once the fee is paid and the deposit placed, the licence is issued within 7 days.
Can a foreigner open a tour company?
The licence goes to a Thai national or a Thai company: at least 51% of the capital held by Thai nationals, more than half of the directors Thai, and a Thai authorised director. A Foreign Business Licence does not replace these rules. The Act allows an exception only where the Minister has waived them for nationals of a specific country under an intergovernmental agreement (s. 98). Only Thai nationals can work as tour guides. We do not offer nominee shareholders — we will go through the legal options for your business model.
