50% or more foreign-owned: special rules

Minimum capital for a foreign company
At least 2 million THB. For activities under a Foreign Business License — at least 25% of the average annual expenses for the first 3 years, and no less than 3 million THB per business.

Thai shareholders prove their payment
Since 1 August 2026, this applies if foreigners hold less than 50% of the capital, or if there are no foreign shareholders but a director with signing authority is foreign. Each Thai shareholder shows bank statements for the 3 months before paying for their shares. They must show a withdrawal or transfer matching the amount and date of payment. You also need a statement for the account that received the money and an explanation letter on the DBD form.

-
Auditor and annual accounts
You name a licensed auditor when you register. Each year the audited financial statements are approved at a shareholders' meeting within 4 months of the year-end and filed with the DBD within one month of approval.

Online filing only
Since 1 July 2026, new companies can only be registered through the DBD Biz Regist system; paper applications at the counter are no longer accepted. We prepare and file the application and tell you who signs what and how.

Frequently asked questions
Can a foreigner own 100% of a company?
Yes, in some cases: through BOI, a Foreign Business License or the US Treaty of Amity. We will find the legal route for you.
How many shareholders do I need?
A Thai private limited company needs at least two. If foreigners hold 49% or less, the remaining shares must belong to real Thai shareholders with confirmed payment.
Can I use a nominee Thai partner?
No. It breaks the law, and since 2026 such schemes are being actively uncovered. We don't work that way.
What do I need after registration?
Monthly reporting, VAT (if turnover exceeds 1.8 million THB a year), social security for staff and an annual audit. We can take this on — see our Accounting service.
How long does registration take?
7–14 business days once the documents are ready.
Can I set up a company remotely?
Some stages can be done under a power of attorney. We'll tell you when you need to come in person.
How much registered capital do I need?
The capital is split into shares with a par value of at least 5 THB, and at least 25% is paid before registration. If foreigners hold 50% or more, the minimum capital is 2 million THB, or 3 million THB per business for activities under a Foreign Business License. Work permits have their own requirements — we'll work them out for your plan.
What government fees are paid at registration?
The DBD charges 500 THB to register the memorandum of association and 5,000 THB to register the company. Stamp duty is 200 THB for the memorandum and 200 THB for articles of association, if you have them. We show government fees as a separate line from our fee.
What do Thai shareholders have to show?
DBD Order No. 2/2569 has applied since 1 August 2026. If foreigners hold less than 50% of the capital, or there are no foreign shareholders but a director with signing authority is foreign, each Thai shareholder shows bank statements for the 3 months before paying for their shares. They must show a withdrawal or transfer matching the amount and date of payment. We check the statements before filing.
How do I sign the documents if I'm abroad?
Under DBD rules, if you don't sign before the registrar, a signature made abroad is certified by an officer of a Thai embassy or consulate, or by someone who can certify signatures under that country's law, such as a notary. We'll explain the procedure for your country and check the documents before you send them.
